5. Payment Terms

Payments for services are made via invoices issued by Byte Meister LLC.
All invoices are payable according to the terms stated therein.
Work on a project may commence only after the agreed deposit or initial payment is received.

All payments are non-refundable once services are initiated, except as otherwise provided in writing by Byte Meister LLC.

6. Intellectual Property Rights

Unless otherwise agreed in writing:

• All original code, design assets, and deliverables developed by Byte Meister LLC remain the intellectual property of the Company until full payment is received.

• Upon full payment, ownership of final deliverables may be transferred to the client as specified in the project agreement.

• The Company retains the right to display completed works in its portfolio or promotional materials unless restricted by a written non-disclosure agreement (NDA).

7. Confidentiality

Byte Meister LLC respects client confidentiality.
Any non-public information shared by clients for the purpose of project execution will be kept strictly confidential and used solely for the intended purpose.

8. Limitation of Liability

To the maximum extent permitted by law, Byte Meister LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to data loss, business interruption, loss of profits, or other economic loss, arising out of or in connection with:

• The use or inability to use our Website or services;

• Any unauthorized access to or alteration of your transmissions or data;

• Statements or conduct of any third party on our Website; or

• Any other matter relating to our services.

The Company’s total liability under any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Byte Meister LLC, its officers, employees, contractors, and agents from and against all claims, liabilities, damages, and expenses (including reasonable attorney’s fees) arising from your use of this Website or breach of these Terms.

11. Disputes

As part of the consideration that this Website requires for viewing, using, or interacting with it, the visitor agrees to binding arbitration for any claim, dispute, or controversy (“Claim”) of any kind (whether in contract, tort, or otherwise) arising out of or relating to the use of this Website, any purchase or service engagement, including solicitation issues, privacy matters, or these Terms.

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) in effect at the time a dispute is submitted.

The hearing shall take place in the City of Sheridan, State of Wyoming, USA, unless otherwise mutually agreed.

In no case shall the visitor, client, or customer have the right to go to court or have a jury trial.
You will not have the right to engage in pre-trial discovery except as provided in the AAA rules, nor the right to participate as a representative or member of any class of claimants pertaining to any claim subject to arbitration.
The arbitrator’s decision shall be final and binding, with only limited rights of appeal.

The prevailing party shall be reimbursed by the other party for all costs associated with the dispute arbitration, including attorney fees, collection costs, investigation fees, and travel expenses.

12. Jurisdiction and Venue

If any matter concerning this agreement is brought before a court of law—before or after arbitration—the exclusive jurisdiction and venue shall be the State of Wyoming, USA, specifically within the city and county where the registered address of Byte Meister LLC is located.

If litigation is brought in federal court, the proper venue shall be the United States District Court closest to Sheridan, Wyoming.

13. Applicable Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles.

14. Modifications to the Terms

Byte Meister LLC reserves the right to modify or update these Terms at any time.
Changes will take effect immediately upon posting on this Website.
Continued use of the Website constitutes acceptance of any revised Terms.
